The Executive Board

The Executive Board has eighteen members and meets at least three times a year. In addition to the representatives of the Higher Audiovisual Council and the French regulatory authority for electronic and postal communications, it includes government representatives, in particular those assigning frequency bands, and persons chosen for their competencies, in particular stakeholders contributing to the electronic communications market (operators, industrials, etc.).

Members of the Executive Board

The Agency is administered by an Executive Board consisting of six people chosen for their competency, including the Chairman, and representatives of administrative bodies and the following independent administrative authorities: 

  • Minister of Defence;
  • Minister of the Interior;
  • Minister for Foreign Affairs;
  • Minister responsible for Electronic Communications;
  • Space Minister;
  • Transport Minister;
  • Research Minister;
  • Minister in charge of the Budget;
  • Minister in charge of the French Departments and Overseas Territory;
  • Minister responsible for Communications;
  • Higher Audiovisual Council;
  • French regulatory authority for electronic and postal communications.

 

The Chairman of the Executive Board and the people chosen for their competencies are appointed by decree. Representatives of Ministers on the Executive Board are appointed by decree of the Minister in charge of Electronic Communications as proposed by each of the ministries concerned. The Higher Audiovisual Council and the regulatory authority for telecommunications each appoint their own representatives. Members of the Executive Board are appointed for a period of five years. If their period of office is interrupted, they are replaced for a duration equivalent of the  remaining period of office. 

Role of Executive Board

The Executive Board draws up the general guidelines for the activities of the organisation and discusses the following questions in particular: 

  1. Approval of the planned national frequency band allocation table between administrative authorities and the assigning authorities, including the categories of services for which these bands are intended;
  2. Proposal for the terms of reference and composition of the French delegation at international radiocommunications conferences;
  3. Approval of the Agency’s programme of activities and investments;
  4. Approval of the Agency’s budget and budget revisions involving either an increase in expenditure or a reduction in receipts, or transfers of appropriations between capital operations departments and the operating department;
  5. Approval of annual activity report;
  6. Approval of financial accounts;
  7. Setting and appropriation of results for the financial year;
  8. Approval of the Agency’s general organisation;
  9. Approval of agreements referred to in 11º of article R20-44-11;
  10. Fixing conditions under which planned sales, support in reconfiguring the spectrum and agreements are submitted for its approval;
  11. Approval of projects for the construction, sale or purchase of buildings, constitution of mortgages or rights in rem, planned leases or the rental of buildings;
  12. Acceptance or refusal of gifts and bequests;
  13. Fixing the general conditions of recruitment, employment and remuneration for contracted personnel;
  14. Training and composition of competent consultative commissions within the framework of the Agency’s various different missions;
  15. Approval of agreements entered into with public or private persons relative to conditions of payment and re-use of contributions to reconfiguring the spectrum.

The Executive Board may delegate powers to the Director General of the Agency to exercise powers devolved to it on behalf of the Agency, with the exception of those referred to in 1º, 3º to 10º and 12º to 14º of article R. 52-2-4. It specifies the conditions of this delegation and may, in particular, make exercise of the delegated power conditional upon a meeting of one of the consultative commissions provided for in 14º of the same article.

The Executive Board meets when convened by its Chairman as often as necessary, and at least three times a year. The Chairman must convene the Executive Board if the Prime Minister, the Minister in charge of electronic communications or a third of its members request him to do so. He fixes the agenda for meetings.

Except in an emergency, the place, date and agenda of the meetings must be brought to the attention of members of the Executive Board and the financial controller at least two weeks in advance. The Director General of the Agency, the financial controller and the accounting officer are present at these meetings in a consultative capacity. The Chairman may also invite any persons whose presence he considers useful in discussing a particular point on the agenda to attend the meetings in a consultative capacity.

The proceedings of the Executive Board are valid only if a majority of members are present or represented. If a quorum is not present, the Board is reconvened with the same agenda within a minimum period of eight days and a maximum period of twenty days. It then deliberates without a quorum being necessary.

The Chairman of the Executive Board has the casting vote.

The deliberations of the meeting are recorded in minutes signed by the Chairman and sent to the members of the Board and the financial controller during the month following the meeting.

The Executive Board acts on the basis of a majority of members present or represented. If the matters discussed concern the points referred to in 1º et 2º of article R. 52-2-4 and the delegated powers given to the Director General, the Chairman of the Executive Board must notify the Prime Minister and each of the members concerning the draft statement proposed by the Board as amended, to take into account the comments expressed. The draft statement becomes final at the end of a period of fifteen days starting from notification, unless the Prime Minister requests a new meeting of the Executive Board within this period.

The Executive Board decides on its own internal rules. Decisions on the matters referred to in 4º, 6º, 7º, 11º, 13º and 15º of article R. 52-2-4 cannot be implemented until they have been approved by the Minister responsible for the Budget. In the absence of opposition from the Minister, this approval is deemed to be acquired one month after receipt by the Minister of the minutes of the meeting. Other decisions can be implemented with full legal effect. The financial controller may, however, oppose decisions which have financial consequences within fifteen days of receipt of the minutes of the relevant meeting.

If he opposes such decisions, the financial controller will immediately refer the matter to the Minister responsible for the Budget who must adjudicate on the matter within one month. If no specific decision is notified within this period, the decision of the Executive Board can be implemented. The Board is informed of the financial controller’s opposition.
